LICENSE AGREEMENT

This License Agreement ("Agreement") is entered into on [Current Date] by and between MA Boutique ("Licensor") and [Buyer's Name] ("Licensee").

**1. DEFINITIONS**

- "Agreement" means this License Agreement and all exhibits, attachments, and schedules attached hereto.
- "Boutique" refers to the online store at MA Boutique (the "Boutique").
- "Content" means the digital products, images, videos, and other materials provided by Licensor to Licensee through the Boutique.
- "Licensee" means the individual or entity purchasing the Content from Licensor through the Boutique.
- "Licensed Products" means the digital products sold through the Boutique, including but not limited to digital art prints, downloads, and other digital materials.
- "Licensor" means MA Boutique, its subsidiaries, affiliates, officers, agents, and employees.
- "Use" means to display, copy, reproduce, modify, distribute, and perform the Licensed Products.

2. GRANT OF LICENSE**

Licensor grants Licensee a non-exclusive, non-transferable license to Use the Licensed Products for personal and commercial purposes. The Licensee agrees to use the Licensed Products in accordance with the terms of this Agreement.

3. RESTRICTIONS ON USE**

The Licensee is prohibited from:

- Modifying or altering the Licensed Products in any way;
- Distributing or sharing the Licensed Products with anyone else;
- Using the Licensed Products for any purpose that is defamatory, pornographic, or that otherwise violates applicable law;
- Claiming ownership or authorship of the Licensed Products;
- Selling or transferring the Licensed Products without Licensor's prior written consent;
- Using the Licensed Products in a manner that implies endorsement or sponsorship by Licensor;
- Removing any copyright or other proprietary notices from the Licensed Products;
- Creating derivative works based on the Licensed Products.

**4. INTELLECTUAL PROPERTY RIGHTS**

The Licensed Products are protected by copyright, trademark, and other intellectual property laws. All rights not explicitly granted to Licensee in this Agreement are reserved by Licensor. The Licensee acknowledges that Licensor retains all title and ownership of the Licensed Products and all related intellectual property rights.

**5. TERM AND TERMINATION**

This Agreement will commence on the date of purchase and continue until terminated by either party upon written notice to the other. Upon termination, Licensee must immediately cease Use of the Licensed Products.

**6. DISCLAIMER OF WARRANTIES**

Licensor disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. The Licensed Products are provided "as is" and without warranty of any kind.

**7. LIMITATION OF LIABILITY**

In no event will Licensor be liable for any damages arising out of or related to this Agreement, including but not limited to consequential, incidental, special, punitive, or exemplary damages.

**8. GOVERNING LAW**

This Agreement will be governed by and construed in accordance with the laws of [Country/State]. Any disputes arising out of or related to this Agreement will be resolved through binding arbitration in accordance with the rules of [Arbitration Association].

**9. ENTIRE AGREEMENT**

By purchasing from MA Boutique, Licensee acknowledges that they have read and agree to be bound by the terms of this Agreement.
